PRONET

A Professional Networking Organization

BY LAWS

Article I

Name

This organization shall be known as PRONET. PRONET is a Professional Networking Organization. Said name is registered with the State of Washington.

Article II

Purpose

PRONET is an elite group of professionals who are committed to the highest levels of service and professional integrity. Dedicated in supporting this alliance, PRONET provides a unique environment for building individual business and enhancing personal growth through the exchange of business contacts, ideas and methods.

Article III

Membership

Section 1:

Membership in PRONET shall be active only. There shall be no inactive or honorary membership status granted to any person.

Section 2:

    A. The active membership of PRONET shall consist of men and women of good character, residing within or having identifiable business interest within the community of the organization. Each active member shall exercise one vote during all business meetings of the full membership.

    B. The active membership of PRONET shall be composed of occupations listed on the official membership category list. That only one profession or occupation shall be represented by each member. There shall be no duplications among members nor shall there be any direct competition among members.

    C. Prospective members shall attend two meetings of PRONET, consecutively when possible and shall then submit an application for membership to the membership chairperson of the organization. Applying prospective members shall be notified when their application has been accepted. Upon completion of the applicantfs inspection, the inspector shall report to the Board of Directors. The Board of Directors shall vote upon the application for membership. Of two-thirds of the members present at the time the application is voted upon by the general membership vote gnoh then the application for membership shall be denied.

    D. When a business category is represented by a firm with a number of principals, alternative representatives may attend regular meetings of PRONET. Principals only shall be eligible for elected positions within PRONET.

    E. Each member should be allowed to operate their own business including who shall represent the member at meetings.

    F. Membership shall not be available to any representative who is a member of a similar networking/leads group within the PRONET community.

    G. Membership shall not be transferable.

Section 3:

All fees/dues paid shall not be refundable. Should PRONET cease to exist, funds shall be donated to a non profit organization. See Article 13 Section 1.

Section 4:

Multilevel marketing businesses shall be allowed membership providing they represent a single product and will agree to not recruit members of PRONET

Article IV

Membership Terminations

Section 1:

Failure to attend regularly the meetings of PRONET is counterproductive to the objectives of the organization and, upon review and evaluation of the PRONET Board (See Rules).

Section 2:

The Board shall appoint an ethics chairperson to make recommendations to the Board about member conflicts, discipline or termination as required.

Section 3:

All members shall comply with both the letter and spirit of the mission statement and bylaws. In the event any member should not comply with the bylaws said infractions can be cause for Board review and action. Regardless of Board action said member is limited to a 30-day appeal period.

Section 4:

If a member has been terminated, that would point to poor character of said applicant and therefore that person should not be readmitted for any reason.

Section 5:

Termination means no membership, therefore, no privileges.

Article V

Officers

Section 1:

Officers shall be voted by the general membership at a business meeting.

Section 2:

The President shall serve as the Executive Officer of the Organization, shall preside at all meetings of the membership, shall be an official member of all committees, shall exercise general supervision over affairs of the organization, shall perform such other duties as are ordinarily incumbent upon President, and will report to the PRONET Board of Directors.

Section 3:

The Vice President shall perform such duties that are ordinarily incumbent upon the Vice President, and such other duties as may be specifically assigned by the President of the Board of Directors or PRONET.

Section 4:

The Secretary shall keep and maintain the minutes of all meetings of the PRONET Board of Directors, business meetings of the Officers and/or Committees assigned and shall make available these minutes on a regular basis at each regular business meeting of the members of PRONET. The secretary shall also conduct all correspondence as may be required by the President, Vice President, or the Board of Directors of PRONET and shall perform all such duties generally and ordinarily incumbent upon the office of secretary.

Section 5:

The Treasurer shall keep and maintain records of all financial actions of PRONET which shall include all records of membership application fees, dues, fines and all monies collected and disburses. Further, the Treasurer shall report the financial condition of PRONET at each general meeting of the Board of Directors of PRONET and once each quarter to the general membership of PRONET during a regularly scheduled business meeting of PRONET. The membership report need be only a short summary of current financial condition, not a full financial detailing. All documentation of financial condition shall be open to the membership at regularly business meetings of PRONET. The Treasurer shall also perform such duties that are ordinarily incumbent upon the office of Treasurer. This includes preparation of an annual budget for submission and approval to the Board of Directors by January 31 of each year.

Article VI

The PRONET Board of Directors

Section 1:

PRONET shall be governed by the PRONET Board of Directors. Decisions rendered by the Board of Directors shall be implemented by the members of the Board of Directors, by the Officers of PRONET as directed by the Board of Directors, or by any member, group of members, or committee of members whether standing or temporary as directed by the Board of Directors.

Section 2:

There shall be a PRONET Board of Directors which shall consist of the President, Vice President, Secretary, Treasurer, and Sergeant of Arms A five (5) vote board with the Sergeant of Arms. Special Projects Chair Person and one member-at-large shall be appointed by the President. Each of the members of the PRONET Board of Directors shall exercise one vote. The Vice President, Secretary, Treasurer, Sergeant of Arms, shall serve in that position for one year.

Each Board of Directors member shall be an active member of PRONET, shall be a regular attendee of business meetings of PRONET and shall not be an alternative attendee for a member firm.

Section 3:

The Board of Directors shall have control and management of PRONETfs activities, shall determine all policies, and shall generally supervise the affairs of PRONET.

Section 4:

The PRONET Board of Directors shall meet each month, or more often if necessary, to effectively administrate the business of organization. A majority of the Board of Directors shall constitute a quorum for the transaction of business, and a majority vote of those present shall be necessary to give effect to any action or resolution of the Board of Directors.

Article VII

Election Procedure

Section 1:

The election of Officers and Board of Directors shall be held on the 2nd regular meeting in November.

Section 2:

At the last regular meeting in September the President shall appoint a nominating committee. This committee shall consist of any five (5) members other than the Board of Directors of PRONET. The President shall designate the chairperson of the committee and said chairperson shall preside over the meetings of the Committee.

Section 3:

At the last regular meeting of October the Nominating Committee shall submit a list of nominations to the membership. At this time, any further nominations by members may be made and added to the submitted list of nominees. Nominations must receive at lease (5) votes of support from a show of hands to be included in the list of nominees submitted by the Nominating Committee. The showing of hands does not in any way bind supporters to a vote for, or precludes a vote against, said nominee during the general election by ballot.

Section 4:

All positions shall be filled by majority vote of the membership only. Should any position fail to be represented by a nominee receiving a majority of votes cast by the membership, the two nominees to that position receiving the most votes of the membership shall be placed on a separate ballot for that position to be voted on during the next regularly scheduled meeting of PRONET.

Section 5:

Voting shall be by ballot. There shall be no proxy voting nor shall votes be taken by mail. There shall be no absentee voting.

Section 6:

Ballots shall be sent out to each member two (2) weeks before the second regular meeting in November. The ballots shall include all those members who have either been nominated or have requested to have their names on the ballots.

Section 7:

Applications shall be received by the committee by the 3rd week before the November election. No application or nomination shall be considered if not received by the deadline as set forth by the nominating committee. Deadlines shall comply with these by laws.

Section 8:

The election procedure shall be first order of business. All members present shall vote by secret ballot. The results of this election shall be final. There shall be no appeal from the results of the annual election. Each position shall be filled by a simple majority vote of members present at this meeting.

Article VIII

Meeting

PRONET shall hold weekly meetings. Each regular business meeting of PRONET will feature members serving as Greeter, Display and Featured Speaker. The Board of Directors may also hold such other meetings as it deems to the objectives of the organization.

Committees

Section 1:

The PRONET Board of Directors shall determine the number and purpose of all special and standing committees necessary to the objectives and purposes of the organization. The standing committees that we outlined herein will not be dissolved without application of said decision to the general membership.

Section 2:

The President shall appoint, or cause to be appointed, a Sergeant at Arms, the chairpersons and members of all committees and shall announce such appointments no later than thirty (30) days following election of President.

Section 3:

Chairpersons appointed by the President may include, but are not limited to, Ethics Chair Person, Nominating, Program Chairpersons, Membership Chairperson and Special Projects Chairpersons.

  • The Program Chairperson shall coordinate the Social Chairperson and/or Committee and the Business Program Chairperson and/or Committee.
  • The Membership Chairperson shall coordinate the Membership Recruiting Chairperson and/or Committee, the Ethics Chairperson and/or Committee and the Inspection Chairperson and/or Committee.
  • The Special Projects Chairperson shall coordinate projects that address services, products manufacturing and sales industries represented by members of PRONET. The primary focus of this committee shall be special opportunities within the business areas for PRONET members to collaborate together as a team rather than a single business. This committee shall maintain an active participation of at least four members. The Special Projects Chair Person has authority to bypass the Board for presentation of committee activity and project recommendations at a regular meeting of PRONET. Additionally, The Leads Coordinator shall confer with the Program Chairperson to arrange opportunity for members to give testimonials of some detail regarding business resulting from leads received through PRONET membership.
  • Ethics Committee Chairperson.
  • Section 4:

    Nothing within this Article shall be considered to be a limitation on the availability of committee appointment or initiation to the President of PRONET, or the membership of PRONET. As the need for committee of service or coordination is recognized, steps to meet those needs shall be taken.

    Article XI

    Miscellaneous

    Section 1:

    Any person who applies for and is accepted for membership in PRONET shall be deemed to have accepted these bylaws of PRONET and any properly wrought changes to these bylaws and shall be bound by these bylaws in all respects.

    Section 2:

    After a vote of the Board, which much be represented by a quorum, and all amendments of these rules and bylaws must be adopted by two-thirds (2/3) vote of the active members present at any meeting of PRONET, provided written notice of the proposed amendment shall have been give the members at least two (2) weeks prior to the meeting. There shall be no voting by proxy, and absentee ballots shall be counted only if received prior to the casting of votes at the regular meeting of PRONET.

    Section 3:

    PRONET is organized and shall operated as a non-for-profit organization for personal improvement and other similar non-profit purposes. Any income received shall be applied only to the non-profit purpose of the organization, and no part of the income shall incur to the benefit of any Officer or member.

    Section 4:

    Rules shall be established by the Board of Directors. All amendments to the rules shall be submitted to the general membership for approval. A majority vote by the members present shall be required for amendment of said rules.

    Article XIII

    Rules

    The following are the present rules established by PRONET. Said rules shall be subject to amendment by procedures set forth in the bylaws.

    Rule 1: Attendance

    Attendance will be taken at each meeting. If a member is unable to attend a meeting, the member must call the Sergeant of Arms to advise of non-attendance. Two consecutive unexcused absences is a violation of rules. Five excuses and/or unexcused absences are allowed per year. (Special circumstances for non-attendance must have prior approval by a gmajority voteh of the Board.)

    Rule 2: Place and time of meetings

  • Members will meet on Tuesday mornings at 7:30 a.m., networking, presentations and meeting. The meeting is to end at 8:30 AM.
  • There will be a monthly business meeting. Board committees must give a report of activities. Special projects should be given ample time to present or collect information.
  • There will be an annual meeting which shall be compromised of the current Board and the next yearfs elected Board.
  • Rule 3: Membership Requirements

  • Providing two leads per month.
  • Members are required to bring one guest semi-annually. Guests are invited who would make good members for the club and do not duplicate a category already filled. Guests are encouraged to attend two meetings before applying for membership. Breakfast is purchased for one guest from each company that attends the first meeting. After the second meeting guests are requested to apply for membership. Any proposed new member whose membership might conflict with an existing member should be reviewed with the existing member first.
  • New Members
  • Sponsor is responsible for integrating the new member to PRONET.
  • Rule 4: Dues

    Starting in January 2006 the dues are $50.00 annually and not refundable.

    Termination

    Members may be terminated for causes listed below:

  • Any conduct that brings the organization into discredit or poor representation.
  • Any willful failure or refusal to abide by By Laws or Rules of PRONET.
  • Openly maligning a fellow member.
  • For reason to be determined by the Board.
  • If dues are not paid within a 30-day period, when applicable. Termination may be without review.
  • Rule 5: Acknowledgements of Participation

    To be awarded at Christmas Social:

  • Gift certificates/or value of $150.00 for 1. Most leads for the year. 2. Most new members for the year.
  • Board member participation/acknowledgement (based on revenue and historical $25.00 1996)

    RULES OF PRONET

    ATTENDANCE:

    Two unexcused absences are allowed per year, all other absences other than out of town business, vacations, or emergencies are unexcused. If you are unable to attend a meeting, you must call the Sergeant-at-Arms to let them know that you are unable to attend. Attendance will be taken at each meeting. The Sergeant of Arms will review members who are not meeting the attendance requirements and notify board.

    PLACE AND TIME OF MEETING:

    Member to meet at Billyganfs in Salmon Creek on Hwy 99 and 134th, Tuesday mornings at 7:30 AM networking, 7:45 Meeting. Meeting to last until 8:30 AM.

    MEMBERSHIP REQUIREMENTS:
  • Members are required to bring a guest per quarter. Guests are invited who would make good members for the club and do not duplicate a category already filled. Guests are encouraged to attend two meetings before applying for membership. Breakfast is purchased for one guest from each company that attends the first meeting. After the second meeting guests are requested to apply for membership.
  • No more than 3 unexcused absences per year.
  • Members to epitomize the spirit of the mission statement.
  • Members with more than four excuse absences in a year will be reviewed by the board.
  • NEW MEMBERS:
  • Are required to write two letters to prospect members.
  • A sponsor is responsible for integrating new member into Pronet.
  • DUES:
  • New members g$50.00 annual dues
  • Renewed members g$50.00 annual dues
  • Members of good standing that have met all the requirements of membership will be invited to rejoin. Any member not meeting these requirements will be notified by the Board to determine their eligibility.

    TERMINATION:

    Members may be terminated for causes listed below:

  • Any conduct that brings the organization into discredit or poor representation.
  • Any willful failure or refusal to abide by By-Laws or Rules of PRONET.
  • Openly maligning a fellow member.
  • For reason to be determined by the Discipline Committee.
  • ACKNOWLEDGEMENTS OF PARTICIPATION:

    To be given at the Annual Meeting.
